Service Agreement
Version effective: June 5, 2026
1. Parties
This Service Agreement ("Agreement") is entered into as of the date of purchase between Hi, Buy & Book ("Provider"), contactable at hibuyandbook@gmail.com, and the individual or business entity completing the onboarding form and purchasing services ("Client").
By completing payment and submitting the onboarding form, Client agrees to be bound by this Agreement in its entirety.
2. Services
Provider will deliver the automation setup selected by Client at time of purchase:
- Automation Only — Custom e-signature contract template, trigger form, automatic Stripe invoice on signature, booking link delivery on payment, and one onboarding/handoff session.
- Automation + CRM — All Automation tier deliverables, plus GoHighLevel CRM sub-account setup, visual sales pipeline, automated follow-up sequences, and lead capture configuration. CRM services are provisioned through a GoHighLevel agency account operated by Taylor Wolfe Marketing on behalf of Hi, Buy & Book.
Provider reserves the right to adjust specific deliverables as needed to achieve the intended functional outcome, provided the core automation flow remains intact. No guarantees are made regarding the behavior of third-party platforms integrated into the service.
3. Fees & Payment
Client agrees to pay the applicable one-time setup fee at time of purchase, plus the recurring monthly subscription fee listed on the pricing page at the time of enrollment. Beta pricing is locked in for the duration of Client's active subscription.
All fees are in USD and processed via Stripe. Monthly subscription billing begins on the date setup is completed. Client is responsible for ensuring their payment method remains valid.
4. Refund Policy
All setup fees are non-refundable once onboarding has commenced — meaning once Provider has begun configuring Client's automation flow following receipt of the completed onboarding form.
Monthly subscription fees are non-refundable for the current billing period. Client may cancel at any time with effect from the next billing cycle by notifying Provider in writing at hibuyandbook@gmail.com.
5. Client Responsibilities
Client agrees to:
- Provide accurate and complete information via the onboarding form, including branding assets, contract template, booking link, and Stripe API credentials.
- Maintain active and valid accounts with Stripe and their chosen booking tool.
- Ensure their own contract template and service terms comply with applicable laws in their jurisdiction. Provider does not review or warrant the legal sufficiency of Client-supplied contracts.
- Notify Provider promptly of any changes to connected accounts or credentials that may affect the automation flow.
- Use the service only for lawful purposes and in compliance with all applicable laws and regulations.
6. Disclaimer of Warranties
The service is provided "as is" and "as available" without warranty of any kind, express or implied. Provider expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Provider does not warrant that the service will be uninterrupted, error-free, or that any specific business outcome (including revenue, client conversion, or booking rates) will result from use of the service.
7. Limitation of Liability
Provider's total cumulative liability under this Agreement shall not exceed the total fees paid by Client in the three (3) months immediately preceding the claim, regardless of the form of action or theory of liability.
In no event shall Provider be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost business opportunity, or data loss, even if Provider has been advised of the possibility of such damages.
Provider is not liable for failures, outages, or changes to third-party platforms including but not limited to Stripe, SignWell, GoHighLevel, Calendly, or any booking tool integrated into Client's automation flow.
8. Indemnification
Client agrees to indemnify, defend, and hold harmless Hi, Buy & Book and its operators from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Client's use or misuse of the service.
- Client's own contracts, business practices, or relationships with their end clients.
- Any content, branding, or materials provided by Client for use in the automation flow.
- Client's violation of this Agreement or any applicable law or regulation.
9. Force Majeure
Provider shall not be liable for any failure or delay in performance resulting from causes beyond Provider's reasonable control, including but not limited to: acts of God, internet or infrastructure outages, third-party platform failures or policy changes (including Stripe, SignWell, GoHighLevel), cyberattacks, government actions, or any other event outside Provider's direct control.
Provider will make reasonable efforts to notify Client and restore service as soon as practicable following a force majeure event.
10. Dispute Resolution
In the event of a dispute arising out of or related to this Agreement, both parties agree to first attempt resolution through good-faith written communication within 30 days of the dispute being raised.
If the dispute cannot be resolved informally, both parties agree to submit to binding arbitration administered by a mutually agreed-upon arbitrator before pursuing any court action. Each party shall bear their own costs for arbitration unless the arbitrator determines otherwise.
Nothing in this section prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.
11. Intellectual Property
All automation architecture, code, and system configurations developed by Provider remain the intellectual property of Hi, Buy & Book. Client is granted a non-exclusive, non-transferable, revocable license to use the configured system solely for the duration of their active subscription.
Client retains full ownership of all content they provide, including contract templates, branding assets, and business data. Client grants Provider a limited license to use such materials solely for the purpose of delivering the services.
12. Confidentiality
Provider will treat all Client-provided credentials, business information, and client data as confidential and will not disclose them to third parties except as strictly necessary to deliver the services, or as required by law. This obligation survives termination of this Agreement.
13. Termination
Either party may terminate this Agreement with 30 days written notice to hibuyandbook@gmail.com. Upon termination, Provider will cease billing at the end of the current billing period and will discontinue access to Provider-managed infrastructure.
Provider may suspend or terminate service immediately and without notice in the event of non-payment, material breach of this Agreement, or misuse of the platform. No refund will be issued in the event of termination for cause.
14. Governing Law
This Agreement is governed by the laws of the jurisdiction in which Provider is operating at the time of the dispute. Both parties consent to the exclusive jurisdiction of the courts or arbitration forums of that jurisdiction for resolution of any disputes not resolved through the process described in Section 10.
15. Entire Agreement
This Agreement, together with the onboarding form and the pricing page in effect at the time of purchase, constitutes the entire agreement between the parties and supersedes all prior discussions, representations, or agreements. If any provision of this Agreement is found unenforceable, the remaining provisions shall continue in full force and effect.
Provider may update these terms with 30 days written notice to active subscribers. Continued use of the service after notice constitutes acceptance of the updated terms.
